Welcome to Initsale. These Terms of Service ("Terms") govern your access to and use of the Initsale platform, website, and services (collectively, the "Service") operated by Initsale ("we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
"Account" means the account you create to access the Service.
"Tenant" means the workspace associated with your Account, which may include multiple users.
"Customer Data" means all data you or your end users upload, submit, or store through the Service, including contacts, conversations, orders, files, and email content.
"End Users" means individuals who interact with your storefront, inbox, or chat widget.
"Plan" means the subscription tier you select (Free, Starter, Pro, or Enterprise).
To use the Service, you must create an Account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
You must be at least 18 years old to create an Account. Each Account is associated with a single Tenant (workspace). The Account owner is responsible for all users within the Tenant.

Features and functionality may vary by Plan. We reserve the right to modify, add, or remove features at any time with reasonable notice.
The Free Plan provides limited access to the Service at no cost. We may modify Free Plan limits at any time.
Paid Plans (Starter, Pro, Enterprise) are billed on a monthly or annual basis via Stripe. By subscribing to a Paid Plan, you authorize us to charge your payment method at the applicable rate.
Each Plan has usage limits (number of inboxes, users, workflows, storage). If you exceed your Plan limits, you will need to upgrade to continue creating resources. Current limits are displayed on the Pricing page.
You may cancel your subscription at any time through the Billing page or Stripe Customer Portal. Upon cancellation, your subscription remains active until the end of the current billing period, after which your account will be downgraded to the Free Plan. We do not provide refunds for partial billing periods.
When you use Stripe Connect to process payments through your storefront, a platform commission fee may apply based on your Plan. The current commission rate for each Plan is displayed on the Pricing page.
You retain all rights to your Customer Data. We do not claim ownership of any data you upload or store through the Service.
You grant us a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide the Service to you.
We process Customer Data on your behalf as a data processor under GDPR. Our obligations as a data processor are described in our Data Processing Agreement, which forms part of these Terms for customers subject to GDPR.
Deleted items (contacts, conversations, messages, workflows) are moved to an archive and permanently deleted after 30 days. Webhook event records are retained for 30 days. You may export your data at any time during your subscription.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your Account.
The Service allows you to send emails to your contacts through connected inboxes and workflow automations. You agree to:
We enforce per-tenant sending rate limits to protect deliverability. Accounts that generate excessive spam complaints may be suspended.
If you connect a Stripe account to accept payments through your storefront, you agree to Stripe's Terms of Service and Connected Account Agreement. We are not a party to transactions between you and your customers. We are not responsible for disputes, refunds, or chargebacks related to your storefront transactions.
The Service, including its design, features, code, documentation, and branding, is owned by Initsale and protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works based on the Service.
Content you create using the Service (storefronts, landing pages, email templates) belongs to you.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by applicable law, Initsale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.
Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify and hold Initsale harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your Account if you violate these Terms, the Acceptable Use Policy, or applicable law. We will provide reasonable notice unless immediate action is required to prevent harm.
Upon termination, your right to use the Service ceases immediately. Your Customer Data will be retained for 30 days after termination, after which it will be permanently deleted.
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Poland, without regard to conflict-of-law provisions. For consumers within the European Union, mandatory consumer protection laws of your country of residence apply where they provide greater protection.
Any disputes arising from these Terms or the Service shall be resolved by the competent courts in Poland. EU consumers may also use the EU Online Dispute Resolution platform.
If you are a consumer in the European Economic Area, you have a 14-day right of withdrawal from the date of purchase. By using the Service immediately after subscribing, you acknowledge that you may lose this right of withdrawal once the Service has been fully provided.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
